Contract, Terms, and Conditions

Mnkaf Company for Online Services (a limited liability company, Commercial Register No. 190534) is a brokerage firm and owner of the electronic application (Break Down).

Definitions and Clarifications:

• The Company: Refers to Mnkaf Company for Online Services (a limited liability company), owner and operator of the (Break Down) application.
• The Application: Refers to the (Break Down) mobile application, which provides a brokerage service between the company and the carrier.
• The User: Anyone who registers with the (Break Down) application to enter into a contract with a carrier for a specified fee.
• The Carrier: Refers to any natural or legal person registered with the application to offer services to users for a financial return, fulfilling the conditions stipulated for carriers.

Please read the following terms carefully before accessing or using the services. Your access to and use of the services through the (Break Down) application constitutes your agreement to abide by these terms, creating a contractual relationship between you and Mnkaf for Trade and Services, the owner of the (Break Down) application, as a mediator in the field of transport without any responsibility on the company for all material and moral damages resulting from your contracts through the application. The responsibility lies solely with the main carrier through the application. If you do not agree to these terms, you may not access or use the services. The company owning the application (Break Down) reserves the right to terminate this agreement or amend the terms, or generally stop providing the services or deny access to the services or any part of it, at any time and for any reason. The company provides its services through its application (Break Down) for your personal, non-commercial use only. You acknowledge that the company does not provide transportation or logistics services or act as a transportation company, and that all transportation or logistics services are provided by independent third parties not employed by the company. Thus, the company is not responsible for any damage resulting from material or moral error resulting from transactions through the application. The company may add supplemental terms to certain services through its application (Break Down), such as policies for a specific event, activity, or promotional offer. These supplemental terms will be disclosed to you through our application (Break Down) and are considered an integral part of this agreement. These supplemental terms will prevail over these terms and conditions in case of conflict. Subject to your compliance with these terms, the company grants you a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to:

1. access and use the application (Break Down) on your personal device solely for your personal, non-commercial use;
2. access and use any content, information, and related materials that may be made available through the services, in each case solely for your personal, non-commercial use. You may not:
3. remove any copyright, trademark, or other proprietary notices from any part of the services;
4. reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, broadcast, or otherwise exploit the services except as expressly permitted by the company;
5. gain unauthorized access to or damage any aspect of the services or the systems or networks connected to them. To use some of the application's services, the user must register, resulting in the creation of a Break Town application account for the user to access the application's portal services. The user must provide accurate information about themselves while filling out the application form during registration and is fully responsible for that information and data. If the user provides incorrect information during registration or subsequently within the use of the application's services, the administrator has the right to suspend or terminate the user's account (registration) without notice or obtaining any consent. If the user's actions could lead to a breach of any applicable laws and regulations, human rights, or any other rights, and the possibility of claims being made to the administrator or guaranteeing the administrator's liability for the user's actions, the administrator has the right to immediately block the user's actions and suspend or delete the user's account without notice or obtaining any consent from the user. Except as expressly provided in this agreement, the company undertakes to ensure all necessary measures stipulated in the applicable legislation in Qatar and the requirements of reasonableness and good faith to protect the personal data submitted to it during the user's registration on the application. By complying with the requirements of this agreement, the user gives full, unconditional, and irrevocable consent for the use of personal data, which is provided upon registration on the application, for including this personal data in the application's database. The company's administrator has the right to delete the user's account if the application (Break Down) is not used within 12 calendar months. Upon registering on the application, the user must enter a password and is fully responsible for the security of information about passwords and other confidential information.

The administrator is not responsible for the consequences of disclosing the user's confidential information regarding personal data (username and password). This provision governs both the voluntary transfer of the user's personal data to third parties and the loss of confidential information about the user's personal data beyond their will.

The administrator has the right to restrict the use of certain portal services and mobile applications by the user without prior consent from the user to the terms of this agreement.

Regardless of registration, the user commits to comply with the terms of this agreement while using the application's services.

If the user's actions could lead to a breach of any applicable laws and regulations, human rights, and the possibility of claims against the company or ensuring the company's liability for the user's actions, the company has the right to immediately block the user's actions without notice or obtaining any consent from the user, and it is not responsible for those actions directly or indirectly.

The user is presumed to fulfill the conditions upon submitting the application, taking safety and security precautions necessary for the safety and security of the transport process, in which the company acts as an intermediary. Any shortfall or deficiency in those conditions means the carrier alone is responsible for breaching those conditions. The company has the right to cancel the subscription and impose a financial penalty on him.

The value of the trip is determined based on the nature of the cargo and the choice of transport mode and is determined according to criteria that are electronically based on traffic congestion or work pressure. The company has a 15% share of the value of each trip due and cancelled.

The carrier is responsible for depositing the agreed-upon 15% in the company's account at the end of each week. The company has the right, in case of delayed deposit, to stop the carrier from using the application and to sue the carrier according to legal procedures.

The carrier guarantees the safety of everything transported within the limits of its responsibility by providing all necessary safety measures for transport.

The company employee owning the (Break Down) application must maintain complete confidentiality in their work with the company and is not entitled to transfer, publish, or speak about their work.

The company does not guarantee regular or unconditional access to the services provided on the (Break Down) application due to force majeure and other factors that may prevent or remove them beyond the application administrator's capacity.

If one or more provisions of this agreement are considered invalid or have no legal effect for any reason, it does not affect the validity or enforceability of the other provisions of the agreement.

The company has the right to provide available information about the user, including personal data, to the state authority upon the first request from the competent authority (law enforcement) in accordance with applicable legislation.

The application and any of its components, including the source code, design elements, text, and other intellectual property elements, are the exclusive property of the company.

The company's manager and those authorized by the manager are not responsible for any damage to life and health, direct or indirect losses, material or immaterial damages, liabilities, or losses incurred as a result of using or not using the published information on the application in addition to using the administrator's services which may be caused by incomplete or improper provision of information services by the application; lack of opportunities to access or use the services; improper provision or failure to provide services to users by any third parties; any actions or omissions of third parties; the availability or absence of authorities or permits or licenses or approvals from third parties or the existence or absence of a special legal status for third parties, etc. Unauthorized distribution.

By simply entering and subscribing to the application, whether as a carrier or user, and agreeing to these terms in the ways referred to, you are bound by these terms. Your agreement does not create any contractual relationship with the company owning the application as a mediator, except in relation to the transfer of funds and the percentage agreed upon for the work of such mediation. The company is responsible for managing the application's services and providing all conditions for establishing a relationship between the carrier and the user.

عقد وشروط وأحكام

 شركة منكاف لخدمات المواقع الإلكترونية (شركة ذات مسئولية محدودة ذ. م. م) سجل تجاري 190534 وهي شركة وسيط ومالكة للتطبيق الالكتروني (بريك داون)

تعريفات وإيضاحات :

الشركة: يقصد بها شركة منكاف لخدمات المواقع الإلكترونية ( شركة ذات مسئولية محدودة ذ. م .م) مالك ومشغل تطبيق (بريك داون )

التطبيق : يقصد به تطبيق (بريك داون) للهاتف المحول والذي يوفر خدمة الوساطة بين الشركة والناقل .

المستخدم : هو كل من يسجل بتطبيق (بريك داون) من أجل الدخول في تعاقد مع الناقل بمقابل محدد .

الناقل : يقصد به كل شخص طبيعي أو معنوي يسجل بالتطبيق ليقدم خدمات للمستخدمين بمقابل مادي ومستوفي للشروط المنصوص عليها للناقل .

يرجى قراءة الشروط التالية بعناية قبل الوصول إلى الخدمات أو استخدامها

 إن وصولك إلى الخدمات واستخدامها عبر تطبيق (بريك داون ) يشكل موافقتك على الالتزام بهذه الشروط ، مما ينشئ علاقة تعاقدية بينك وشركة (منكاف للتجارة والخدمات ) المالك لتطبيق (بريك داون )  كوسيط في مجال النقل دون أدني مسؤولية علي الشركة عن كل الأضرار المادية والادبية الناتجة عن تعاقداتك عبر التطبيق وتكون المسؤولية فقط علي الناقل الرئيسي عبر التطبيق

 إذا كنت لا توافق على هذه الشروط ، فلا يجوز لك الوصول إلى الخدمات أو استخدامها

يحق للشركة مالكة التطبيق ( بريك داون) إنهاء هذه الاتفاقية او تعديل الشروط ، أو التوقف بشكل عام عن تقديم الخدمات أو رفض الوصول إلى الخدمات أو أي جزء منها، في أي وقت ولأي سبب

توفر الشركة عبر تطبيقها (بريك داون ) الخدمات لاستخدامك الشخصي غير التجاري فقط أنت تقر بأن الشركة لا توفر خدمات النقل أو الخدمات اللوجستية أو تعمل كشركة نقل وأن جميع خدمات النقل أو الخدمات اللوجستية يتم توفيرها من قبل اشخاص خارجيين مستقلين لا يعملون لدي الشركة ، وبذلك فأن الشركة غير مسؤولة عن اي ضرر ناتج عن خطأ مادي أو أدبي نتيجة التعاملات عبر التطبيق

قد تضيف الشركة عبر تطبيقها (بريك داون ) شروط تكميلية على خدمات معينة ، مثل السياسات الخاصة بحدث أو نشاط أو عرض ترويجي معين، وسيتم الكشف عن هذه الشروط التكميلية لتلك الاحداث والأنشطة أو العروض الترويجية لك عبر تطبيقنا (بريك داون) وتعتبر تلك  الشروط التكميلية جزءًا لا يتجزأ من هذه الاتفاقية

كما تسمو تلك الشروط التكميلية علي هذه الشروط والأحكام في حال التعارض

مع مراعاة التزامكم بهذه الشروط ، تمنحك الشركة عبر تطبيقها (بريك داون) ترخيصًا محدودًا وغير حصري وغير قابل للترخيص من الباطن وقابل للإلغاء دون قيود او مسئولية قانونية في مواجهة الشركة وغير قابل للتحويل وذلك من اجل

(1) الوصول إلى تطبيقها (بريك داون) واستخدامه على جهازك الشخصي فقط

 (2) الوصول إلى واستخدام أي محتوى ومعلومات ومواد ذات صلة قد يتم توفيرها من خلال الخدمات ، وفي كل حالة لاستخدامك الشخصي غير التجاري فقط 

كما لا يجوز:

 (1) إزالة أي حقوق نشر أو علامة تجارية أو إشعارات ملكية أخرى من أي جزء من الخدمات .

 (2) إعادة إنتاج أو تعديل أو إعداد أعمال مشتقة بناءً على الخدمات أو توزيعها أو ترخيصها أو تأجيرها أو بيعها أو إعادة بيعها أو نقلها أو عرضها علنًا أو تنفيذها علنًا أو نقلها أو بثها أو استغلالها بأي شكل آخر باستثناء ما تسمح به الشركة صراحةً .

 (3) الوصول غير المصرح به إلى أو إتلاف أي جانب من جوانب الخدمات أو الأنظمة أو الشبكات المرتبطة بها

لاستخدام بعض خدمات التطبيق ، يلتزم المستخدم بإجراء التسجيل ، مما يؤدي إلى إنشاء حساب  تطبيق (بريك تاون ) للمستخدم للوصول إلى خدمات بوابة التطبيق يجب على المستخدم تقديم معلومات دقيقة عن نفسه أثناء ملء استمارة الطلب أثناء التسجيل بالتطبيق ويكون مسئول مسئولية تامة عن تلك المعلومات والبيانات

في حال قدم المستخدم معلومات خاطئة أثناء التسجيل أو في وقت لاحق ، ضمن استخدام خدمات التطبيق  ، يحق للمسؤول تعليق أو إنهاء حساب (تسجيل) المستخدم دون إشعار أو الحصول على أي موافقة

إذا كانت تصرفات المستخدم قد تؤدي إلى خرق أي قواعد ولوائح القانون المعمول به ، وحقوق الإنسان او اي حقوق اخري ، وإمكانية تقديم مطالبات إلى المسؤول أو ضمان مسؤولية المسؤول عن تصرفات المستخدم ، فإن المسؤول لديه الحق في حظر المستخدم الإجراءات على الفور وتعليق أو حذف حساب المستخدم دون إخطار أو الحصول على أي موافقة من المستخدم

باستثناء الحالات المنصوص عليها صراحة في هذه الاتفاقية ، تتعهد الشركة بضمان جميع التدابير اللازمة المنصوص عليها في التشريعات المعمول بها في قطر ومتطلبات المعقولية وحسن النية من أجل حماية البيانات الشخصية المرسلة إلىها أثناء تسجيل المستخدم على التطبيق

من خلال الالتزام بالامتثال لمتطلبات هذه الاتفاقية ، يمنح المستخدم الموافقة الكاملة وغير المشروطة وغير القابلة للإلغاء لاستخدام البيانات الشخصية ، والتي يتم توفيرها عند التسجيل على التطبيق ، من أجل تضمين هذه البيانات الشخصية في قاعدة بيانات التطبيق

يحق للمسؤول بالشركة حذف حساب المستخدم إذا لم يتم استخدام التطبيق (بريك داون ) خلال 12 شهرًا تقويميًا

عند التسجيل على التطبيق ،و يجب عليه إدخال كلمة يتحمل المستخدم المسؤولية الكاملة المرور

يضمن المستخدم سلامة المعلومات حول كلمات المرور والمعلومات السرية الأخرى بنفسه. المسؤول غير مسؤول عن نتائج الكشف عن معلومات المستخدم السرية حول البيانات الشخصية (اسم المستخدم وكلمة المرور) ينظم هذا الحكم كل من النقل الطوعي للبيانات الشخصية للمستخدم إلى أطراف ثالثة وفقدان المعلومات السرية حول البيانات الشخصية للمستخدم بما يتجاوز إرادته

يحق للمسؤول تقييد استخدام بعض خدمات البوابة وتطبيقات الهاتف المحمول من قبل المستخدم دون موافقة مسبقة من المستخدم على شروط هذه الاتفاقية

بغض النظر عن حقيقة التسجيل ، يتعهد المستخدم بالامتثال لشروط هذه الاتفاقية أثناء استخدام خدمات التطبيق

 إذا كانت تصرفات المستخدم قد تؤدي إلى خرق أي قواعد ولوائح القانون المعمول به ، وحقوق الإنسان وإمكانية تقديم مطالبات الي الشركة أو ضمان مسؤولية الشركة عن تصرفات المستخدم ، فإن الشركة لديها الحق في حظر تصرفات المستخدم على الفور دون إشعار أو الحصول على أي موافقة من المستخدم ، كما انها غير مسؤولة عن تلك التصرفات بصورة مباشرة او غير مباشرة

يفترض في المستخدم انه مستوفي الشروط عند تقديم الطلب من اجراءات سلامة وأمان وكل الاحترازات اللازمة من أجل سلامة وتأمين عملية النقل التي تكون الشركة وسيط فيها واي تقصير او نقصان في تلك الشروط فأن الناقل يكون مسؤوله وحده في الاخلال بتلك الشروط، كما انه يحق للشركة إلغاء الاشتراك ومع فرض غرامه مالية عليه

يتم تحديد قيمة المشوار حسب طبيعة المنقول واختار وسيلة النقل كما يحدد وفق معاير تتم بصورة الكترونية من زحمة مرور او ضغط عمل كما يكون للشركة نسبة 15% من قيمة كل رحلة مستحقة وتم إلغاءه تلك الرحلة

يكون الناقل مسؤولة عن إيداع النسبة المتفق عليها 15% في حساب الشركة في نهاية كل أسبوع ويحق للشركة في حال تأخير الإيداع المتفق عليه ان يتم إيقاف الناقل عن استخدام التطبيق كما يحق لها ان تقاضي الناقل حسب الإجراءات القانونية

يضمن الناقل سلامة كل منقول في حدود مسؤوليته من توفير كل سبل السلامة اللازمة للنقل  

يلتزم موظف الشركة مالكة تطبيق(بريك داون ) بالسرية التامه في عمله بالشركة كما لا يحق له نقل أو نشر أو القول في ما يتعلق بعمله ،

لا تضمن الشركة الوصول المنتظم أو غير المشروط إلى الخدمات المقدمة على التطبيق(بريك داون ) بسبب قوة قاهرة وعوامل أخرى التي قد يكون منعها أو إزالتها تتجاوز قدرة المسؤول عن عمل التطبيق

في حالة اعتبار واحد أو أكثر من أحكام هذه الاتفاقية غير صالح أو ليس له أي أثر قانوني لأي سبب من الأسباب ، فإنه لا يؤثر على صحة أو قابلية تطبيق الأحكام الأخرى من الاتفاقية

تملك الشركة الحق في توفير المعلومات المتاحة حول المستخدم ، دون استثناء البيانات الشخصية ، إلى سلطة الدولة عند الطلب الأول من هذه السلطة المختصة (إنفاذ القانون) المناسبة وفقًا للتشريعات المعمول بها

 يعد التطبيق وأي من مكوناته ، بما في ذلك شفرة المصدر وعناصر التصميم والنص وعناصر الملكية الفكرية الأخرى ملكية حصرية للشركة

مديرالشركة، المفوضون من قبل المدير ليسوا مسؤولين عن أي ضرر يلحق بالحياة والصحة ، أي خسائر مباشرة أو غير مباشرة ، أضرار مادية أو غير مادية ، مسؤوليات أو خسائر متكبدة نتيجة استخدام أو عدم استخدام المعلومات المنشورة على التطبيق بالإضافة إلى استخدام خدمات المسؤول والتي قد تكون ناجمة عن عدم اكتمال أو توفير خدمات المعلومات بشكل غير مناسب بالتطبيق ؛ نقص الفرص للوصول إلى الخدمات أو استخدامها ؛ عدم تقديم أو تقديم خدمات بشكل غير لائق للمستخدمين من قبل أي أطراف ثالثة ؛ أي إجراءات أو سهو من أطراف ثالثة ؛ توفر أو عدم وجود سلطات أو تصاريح أو تراخيص أو موافقات من أطراف ثالثة أو وجود أو عدم وجود وضع قانوني خاص لأطراف ثالثة وما إلى ذلك التوزيع غير المصرح به

 ان مجرد دخولك والاشتراك بالتطبيق سواء كنت ناقل او مستخدم والموافقة علي تلك الشروط بالطرق المشأر اليها تكون ملزم بتلك الشروط كما موافقتك لا تنشئ اي علاقة تعاقدية مع الشركة المالك للتطبيق كوسيط والا في ما يتعلق بتحول الاموال والنسبة والمتفق حولها عن عمل تلك الواسطه كما تكون الشركة مسؤولة عن خدمات ادارة التطبيق وتوفير كل الظروف لانشاء علاقة بين الناقل والمستخدم .
